摘　　要：按照我国《公司法》规定,投资人可以以专利权出资,但是未明确是否可以以专利使用权出资。从我国公司立法变革呈现出来的对以专利权向公司出资的具体要求的变化,对现行《公司法》第28条有关出资方式的规定宜作宽泛的理解,即允许以专利使用权向公司出资。从现行公司立法看,以专利使用权出资并不必然会违反公司资本维持原则和侵害公司债权人的合法利益。为了更好地维持公司资本,今后宜在我国立法中明确仅能以独占实施许可的方式以专利使用权向公司出资。According to Chinese Company Act, investors may contribute capital to companies with the patent right, but it does not make it clear whether capital contribution of the right to use the patent is permitted. From the changes of the legislation of Chinese Company Act and regulations, article 28 of the present Company Act should be broadly explained, namely, the it permits capital contribution of the right to use the patent. Such capital contribu-tion would not necessarily violate the company principle of capital maintenance or the legitimate interests of the company creditors under the background of Chinese present Company Act and regulations. However, in order to maintain the company＇s capital better, it is recommended that in the future the appropriate law should provide that the right to use the patent is contributed to the company only in the form of an exclusive licensing.
