摘　　要：目前理论学界争论的焦点问题在于人力资本出资上,本文从分析了该提议的可行性,并评价了《公司法》中人力资源成本出资方式,最后对我国的人力资源成本立法提出切实可行的建议。The focus of debate in the field of theory is human capital investment. This paper,analyzes the feasibility of the proposal,evaluates the investment way of human resources cost in ＂ Company Law＂,and finally proposes feasible suggestions the legislation of China＇s human resources cost.
