多主并方合作的并购策略研究评述与预测

摘　　要：基于文献综述的研究方法,围绕并购策略如何求解与验证的科学问题,从并购合作策略、并购定价策略、并购持股策略和最佳并购时机选择策略四个方面,梳理和分析了并购策略理论研究成果。并通过算例分析、案例分析、数值分析和实验模拟四种方法,对并购策略验证性研究成果进行了归纳和分析。基于此,分析了国内外并购策略研究的发展动态,提出了进一步研究的方向。研究发现,将企业社会责任纳入并购策略分析框架,揭示企业利润和企业社会责任协同驱动并购策略的制定和执行的内在机理,探讨并购中企业社会责任的推进策略,正是企业制定科学、合理的并购策略、政府推进并购中企业社会责任、实现宏观经济结构转型和可持续发展所需要的理论指导和数据支撑。Based on literature review, how to solve and verify the merger and acquisition strategy is demonstrated. Specifically, the current theoretical achievements on cooperation strategy, pricing strategy, shareholding strategy and timing strategy in merger are carded and analyzed. In addition, the achievement of verification researches is summarized through example analysis, case analysis, numerical analysis and experimental simulation. Based on the current achievements, the domestic or foreign development trend of merger and acquisition strategy is analyzed, and the direction of future study is pointed out. From the research, bringing corporate social responsibility into the framework of merger and acquisition strategy, discovering the synergy between the corporate profits and social responsibility and promoting the internal mechanism of the development and implementation of the merger strategy are the theoretical guidance and data support to make scientific and reasonable acquisition strategy from enterprises, to promote social responsibility for enterprises in merger from governments and to achieve the macro-economic transformation and the sustainable development of economy and society.
