摘  要:2013年"礼来药企案"是第一起涉及专利无效的国际投资争端,因投资协定中知识产权被纳入"投资"的范畴,知识产权人礼来公司以投资者保护的实体条款为依据,利用投资者——国家争端解决程序,对东道国提起国际投资仲裁,质疑加拿大联邦法院对其药品专利做出的无效裁决。该案折射出投资协定中知识产权保护产生的法律效果:知识产权人作为投资者,可以直接挑战东道国知识产权法的制定和实施;TRIPS协议赋予成员方的制度自主空间在投资协定下受到威胁;虽然有一些投资协定条款试图维持与TRIPS协议的一致性,其后果却是赋予投资仲裁庭解释TRIPS协议的任务,会产生新的问题和不确定性。投资协定在TRIPS协议的基础上提高了知识产权保护水平,强化了知识产权人的专有权,使得知识产权国际体制更加复杂。"Eli Lilly Case" in 2013 is the first international investment disputes involving patent invalidation. As intellectual property be included in the scope of "Investment", the IP owner Lilly, using the substantive provisions of investor protection and the investor-State dispute settlement procedure, filed a Notice of arbitration against Canada, questioning its Federal Court rulings invalidating Lilly' s pharmaceutical patents. The case reflects the legal effect of IP protection in investment agreements : the host nation' s right of formulation and implementation of IP laws can be directly challenged by IP owners; the room of institutional autonomy the TRIPS Agreement gives Members be threatened under the investment agreement; although there are some investment treaties tried to maintain consistency with the terms of the TRIPS agreement, the consequence is given the task of explaining the TRIPS Agreement to the investment arbitration tribunals, it will create new problems and uncertainties. Investment agreements have improved the level of IP protection on the basis of the TRIPS Agreement, strengthened the exclusive right of IP owners, and given more complexity to the international legal system of IP.
