摘　　要：《订单农业法律指南》是国际统一私法协会协同联合国粮农组织、国际农业发展基金共同出台的关于订单农业的最新国际性规范文件,是反复磋商、数次打磨之精良之作。其对作为订单农业核心的农业生产合同进行周密设计和详细分析,涵纳合同当事人、合同的成立和合同形式、当事人义务、免责事由、违约救济、合同期间、续约和终止、纠纷解决等诸多方面。《指南》为确保订单农业当事人间的公平,以国际性文件的方式构想农业生产合同每一环节可能出现的问题,并提出可行的解决方案及预防措施。《指南》能为订单农业中的产购双方当事人提供重要的合同参考,也可作为各国国内订单农业立法的模本,在一定程度上开启了订单农业合同的统一化时代,有助于世界订单农业的有序、稳健发展。The Legal Guide on Contract Farming by UNIDROIT / FAO / IFAD is the latest international regulatory document on contract farming,and is the result of many rounds of consultations and discussions. The Guide designs and analyzes the clauses of the agricultural production contract,covers parties of the contract,formation and of the contract,obligations of the contract,excuses for non- performance,remedy for breach,the duration,renewal and termination of the contract and the settlement of the disputes,etc. In ordering to achieving the fairness and balance of contract farming practices, the Guide in the form of an internationally- recognized benchmark delineates the problems that may arise in every stage of the agricultural production contract,devises the possible solutions and preventive measures. The Guide can be used as a reference to the contract between the producer and the buyer,and also can be used as a model for states to make laws on contract farming.To some extent,it marks the beginning of the era of the unification of agricultural production contract,and will surely promote the orderly and steady development of contract farming of the world.
