摘　　要：近年来,国内多层次资本市场建设加快,各地纷纷设立产业引导基金,私募股权投资基金发展面临空前机遇。本文从PE基金发展的影响因素、委托——代理问题、公司治理、投融资策略、退出机制和风险监管等角度着手,对西方私募股权投资基金理论进行分析梳理,并针对国内PE基金现状和存在的问题,提出了相关对策建议。In recent years, to accelerate the construction of multi-level capital market in China, the country have set up the industry leading fund, private equity investment fund development faces unprecedented opportunities. This article from the factors influencing the development of PE fund, principal-- agency problem, corporate governance, investment and financing strategy, exit mechanism and risk control etc. angle start, the theory of western private equity investment fund for analysis, and puts forward the relevant countermeasures and suggestions in view of the present situation and problems of domestic PE funds.
