企业经营国家干预的理论逻辑与制度调试——以企业社会责任为视角

摘　　要：合理协调企业经营与国家干预的关系是世界市场经济发展的永恒命题。从我国现行企业经营国家干预的制度设计看,明显存在干预界限模糊、干预手段单一、干预程序虚置等缺陷,实质上是行政主导的立法模式以及地方、部门利益诉求等体制痼疾在企业经营国家干预法律制度架构上的一种表象,因此,应当改革以经济法为主的企业经营国家干预法律制度。同时,随着社会公平理念、企业社会责任理念逐步成为社会共识,企业在追求盈利的同时,也应更加注重社会目标的实现。在企业社会责任的视角下,企业经营与国家干预表现为对立统一的关系,在企业经营国家干预的制度重构中,应当强调企业效益和社会效益并重、引入非强制性干预机制、实施"阳光干预"等。Coordination between state intervention and business operation is an ever-existing issue in market economy development. An analysis of the system design of state intervention in business operation in China reveals that defects exist in state intervention： vague intervention boundaries,single and invariable intervention method,and hollow intervention procedures.All the problems are essentially a reflection of the persistent systemic defects,including the legislation model led by administrations and interest demands from localities and departments. Therefore,reforms should be introduced to the system of state intervention in business operation which is based on the economic law. On the other hand,as the concept of social justice and corporate social responsibility gradually become consensus in society,enterprises should make greater efforts to realize social goals while pursuing profits. Seen from the perspective of corporate social responsibility,enterprise management and state intervention perform as a unity of opposites. In reconstructing the system of state intervention in business operation,emphasis should be placed on both business and social benefits,and it is advisable to introduce non-mandatory intervention mechanism and implement＂sunshine intervention＂,etc.
