摘　　要：日本2004年实施的国立大学法人化改革,确立了其大学独立的法人地位,推动了大学自治的实现。本研究分析了法人化改革的内外部因素、内涵特征和主要实施内容,从契约角度具体阐释了国立大学法人化改革的成功之处与负面效果。以此为借鉴,我国可在几方面推进依法治校:深刻认识契约的作用、完善配套契约制度、建立政府与高校的契约关系、建立行政权力与学术权力相制衡的契约制度。The Japanese National University Corporation reform in 2004 established its independent corporation status and promoted the realization of national university autonomy. This paper analyzes the internal and external factors, the characteristics and the main contents of the corporation reform, explains the success and negative effects of the national university corporation reform from the perspective of contract. As a reference, this paper puts forward several suggestions for promoting the managing university by law： to deeply understanding the effect of contract, to improve the supporting contract system, to establish the contractual relationship between the government and universities, and to formulate the contract system to balance administrative power and academic power.
