摘　　要：作为一种新兴社会现象,社会中间层组织成为了各类学术研究的共同话题,也导致了空前的争议。通过对既有社会中间层理论的总体性考察发现,以往的法学与非法学研究囿于各自分析方法和建构理念的局限性而忽略了社会中间层组织所具有的公私双重属性,使得社会中间层理论陷入了理想与现实的两难窘境。要破解这一困局,则应从中国的治理实际出发,运用法治思维、规则和制度尤其是经济法律制度,来实现国家与社会之间的"相互构建"。在具体的经济法治建设中,以"主体——行为——责任"范式为基本路径,把社会中间层的主体地位、行为边界及责任制度加以法治化,是当下中国建构国家治理体系并进而重构社会中间层理论的过程中所开展的一项最为有效的法律尝试。As a newly- arising social phenomenon,the social intermediate organization has become a common topic for academic research resulting in unprecedented controversies. According to general studies of the theory on the intermediate layer society,it is found that subject to their respective limitations on analytical methods and conception construction,both legal research and non- legal research have neglected that the social intermediate organization bears dual attributes of being public and private,which leads the theory on the intermediate layer society into an ideal and reality dilemma. In order to solve this problem,it is suggested that the ruling of law mentality,rules and systems with economic and legal systems in particular should be applied based on Chinese governance practice so as to achieve a ＂mutual construction＂between state and society. With regard to construction of concrete rules on economic laws,a basic paradigm of the＂subject- conduct- liability＂should be complied with,and the subject status,conduct boundary and liability system of the social intermediate layer should be under the ruling of law,which is the most effective legal attempt for China to construct national governance system and further to reconstruct the theory on the intermediate layer society.
