New Explanation to Rules of Transfer of Mortgaged Real Estate

摘  要:在不动产抵押物转让的各种模式中,立法并未采纳禁止转让说;无论是实体性限制还是程序性限制,均无必要;抵押权人价格异议权仅强调对抵押权人利益的保护,且违背私法自治原则。抵押权追及模式可以满足保护抵押权人利益的需要。与抵押权追及效力相比,价金物上代位模式理论本身存在缺陷,且面临较大的解释困难。依据动产抵押物与不动产抵押物之间的区分,应当将《物权法》第191条的适用范围限制在动产抵押物。针对不动产抵押物的转让规则,可通过物权的定义规则以及"法无禁止即自由"的自由转让规则重新构造。对于受让人的保护而言,《担保法司法解释》第67条规定的替代清偿模式提供了制度支撑。上述思路也可为未来相关司法解释的制定提供借鉴。Among various legislative modes of transfer of mortgaged real estate, Chings legislation does not prohibit the transfer of mortgaged real estate. Both substantive and procedural restrictions are unnecessary to protect three parties. Mort- gagee's right to intervene the price of mortgaged real estate only emphasizes the protection of the interests of the mortgagee, and it destroys the principle of party autonomy. The recourse effect of mortgage can protect mortgagee's interests. The mode of the right of subrogation towards transfer price has its defects and it is difficult to explain. According to the distinguish between mortgaged real estate and mortgaged chattel, Art. 191 of China's Real Right Law can only he applied to mortgaged chattel. Rules of transfer of mortgaged real estate can be reconstructed by the rule of Absence of Legal Prohibition Means Freedom and the conception of property right. Assignees can be protected by Art.67 of the Legal Interpretation in Law of Warranty, prescri- bing that assignees can pay off debts in advance and terminate mortgage right. Those ideas can also contribute to judicial inter- pretation.
