摘　　要：以真实案例出发,探讨股东之间签订的承包经营合同中的几个法律问题:一、股东之间签订的公司承包经营合同中各股东的法律地位;二、承包金的性质以及该如何分配;三、股东协议对公司治理架构的影响范围;四、有限责任公司中,小股东利益的保护。With the background of a true case,this article aims to discuss several legal issues about the agreement of contracted management of company concluded between company's shareholders:1.the legal status of each shareholder under the agreements on contracted management of company;2.the nature of the contracting fee and the rightful method to spend the contracting fee;3.the impact of the agreement of contracted management to the the managerial structure of the company;4.the protection of the intrest of the small shareholder in the limited liability company.
