公共图书馆“理事会失灵”问题前瞻——以公司董事会为镜像

摘　　要：借助公司董事会镜像,可以前瞻性地观测我国公共图书馆"理事会失灵"问题:理事会规模偏大,效率低下;难以承担战略管理职能;图书馆理事身处关系社会之中,同时受到信息不对称、德性和能力不足的限制,在履职过程中往往表现出沉默、从众、缺乏公益精神的行为,使得理事会成为管理层的"橡皮图章"。因此,公共图书馆需要借鉴公司董事会治理实践,从理事会职能、规模、机制以及理事德性和能力等方面,提前采取措施予以积极预防。From the perspective of corporate board governance, the malfunction of the board of trustees of public library is foreseeable： it has quite a big membership and low efficiency, is hard to bear strategic management function, its members are socially interactive, and would be affected by information asymmetry, inadequate in capability and virtue and they tend to keep silent, echo the views of others and lack public spirit in the performance of duties, all of these reduce itself to a management ＂rubber stamp＂. Therefore, by drawing on the experiences of corporate board governance, precautions in terms of function, scale, mechanism, and board members＇ virtue and capability must be taken to prevent possible malfunction of the public library.
