对高校独董闪辞事件的分析与思考

摘　　要：独立董事能够为企业带来更高的绩效已被研究证明,而高校独董因其独特的职业背景近来受到理论和实务界的关注。在综述前人对独立董事以及高校背景独立董事与企业绩效研究的基础上,就2015年发生的大量高校独董闪辞事件加以数据整理,分析目前的相关准则与公司治理结构,有助于推动独董回归本位尽职履责,也为企业聘请高校独立董事提供了理论依据。It has been proved that independent directors can bring higher performance to the enterprise,while university independent directors recently received attention in the circles of theory and practice because of their unique professional background.Based on the review of previous researches between the independent directors,as well as the background of independent directors and corporate performance,the paper collects great amount of data about the dismissal of independent directors occurred in 2015,analyzes current relevant standards and corporate governance structure,which contributes to promote independent directors＇ regression and perform their assumed responsibilities,as well as provides the theoretical basis for the enterprise to employ independent directors.
