摘　　要：版权证券化是知识产权证券化的一种重要类型,其重要意义被喻为"麻雀变凤凰",在国外已经被许多成功事例所佐证。我国版权证券化刚刚起步,正在摸索过程中,面临诸多的法律困境,比如版权主体多元化导致的所有权确认问题,真实销售与破产隔离之间的冲突问题等。针对这些法律困境提出了破解之道:版权证券化必须完善版权登记制度、充分利用著作权集体管理组织的功能、通过资产池或版税池的构建以减少发行风险等等。Copyright Securitization is an important type of intellectual property securitization,and its significance has been hailed as ＂Pretty Woman＂,and it has been supporting a number of success stories in foreign countries. Copyright securitization in our country is growing and facing many legal difficulties,such as that copyright ownership diversification leds to confirmation of the conflict problem,the real separation between sales and bankruptcy,etc.,and for the plight of law,we proposed some solutions： copyright securitization must improve the system of copyright registration,make full use of the function of copyright collective management organization,reduce risk through the construction of asset pool or royalties pool issued and so on.
