摘  要:以"交易费用"理论和"替代函数"理论为分析框架,认为中国石化现有的四级油气勘探开发组织结构及其运行机制的交易费用和代理成本过高,导致替代净效益为负和管理粗放,建议向"油公司模式"改革:对现有结构和运行机制进行改造,实施去纵向一体化(专业化)和"替代函数"管控。以中国石化中原油田分公司为研究案例,提出去纵向一体化"油公司"改造与分立"油服公司"的实施策略和探索方案,为中国石化"油公司模式"改造提供组织创新样本。主要改造路径:去除采油气厂这一管理层级,将原有业务分拆重组为油气田公司与油服公司的组织业务结构。The paper proposes that Sinopec should reform towards oil company model such as modifying the existing structure and operation mechanism, implementing devertical integration(professionalization) and managing controlling replacement function since the transaction expenses and agency costs of the current four-layer organization structures in oil and gas exploration development and its operation mechanism are too high based on the analysis framework of "Transaction Cost Theory" and "Replacement Function Theory". It advances the implementation strategy and exploratory plan of being devertical integration and demerging the oilfield services company by the case study of Sinopec Zhongyuan Oilfield Company to offer an innovative sample for Sinopec oil company model reform, whose main approach is disbanding the management level of oil and gas production plants, demerging and restructuring the original business to organization structure of oilfield gas field companies and oilfield services companies.
