摘　　要：2015年1月出台的《外国投资法(草案)》从立法体例入手,拟实现外国投资的统一适用以及基础性制度的统一整合,草案积极大胆地引入"负面清单"模式,致力于创制一份精准、明确、透明的清单。并且,对于实践中长期得不到法律规制的VIE架构,征求意见稿也进行了正面应答。尽管如此,新的外资法是否能较为完备地覆盖外资法律关系体系,是否能不负众望地完成蜕变,仍值得研究。Issued in January 2015 , the Foreign Investment Law （draft） , proceeded with legislative style, is aiming at the achievement of the uniform application of foreign investment and the unification of the basic system of Foreign Investment Law. The draft adopted “negative list” mode boldly and committed to achieving an accurate, clear and transparent list. For the VIE structure used in the practice of foreign investment management without legal regulation, the draft also carried on positive response. Even so, it is still worth studying whether this new Foreign Investment Law can completely cover the foreign legal relation system and whether it can achieve metamorphosis successfully.
