英美社会企业制度设计与中国社会企业培育

摘　　要：社会企业以其独有的组织形式有机结合了其社会目标和商业定位,在英美国家已经成为公共产品供给的力量之一。文章从产权归属、利润分配、决策机制、融资渠道等公司治理角度分类分析出发,剖析比较英美社会企业的治理特征。通过比较借鉴相关制度设计,探讨我国社会企业的潜在对象及其转型的关键问题,并提出相应的政策建议。Social enterprises, with its unique organizational form of combining social mission with commercial orientation, have become one of the main powers in supplying public good in Britain and United States. The article analyzes and compares the corporate governance characteristics of social enterprises from the aspects of property ownership, profit distribution, mechanism of decision-making and financing channel. By comparing and sharing of their system design, the article discusses the possibilities and critical problems in transferring potentials into social enterprises in China. Policy suggestions were put forward at the end.
