善意取得制度“以合理价格转让”为构成要件之商榷

摘　　要：善意取得制度作为一项重要的民法制度,尤其是其核心——对财产所有权的善意取得,在保护第三人合法权益、维护交易安全等方面,起到非常重要作用。我国《物权法》在设立善意取得制度时,将"以合理价格转让"单列成款。这就意味着物权法在设定我国的善意取得制度时,将"以合理价格转让"独立于其他构成要件,并明文规定善意取得以有偿转让为前提。我国物权法将"以合理价格转让"单列成款有失妥当。将以合理价格转让作为独立的构成要件欠缺合理性,合理的价格并非独立的构成要件,只是判断善意的一个或然标准,将以合理价格转让作为独立的构成要件,既违反传统民法理论,又同大陆法系国家的立法惯例相违背,以合理价格转让作为独立的构成要件并未发挥应有效用,反而在法官的实际审判过程中造成了适用上的混乱,对司法机关权威性的维护和司法公信力的维持起到了消极作用;在善意取得条款中明文规定有偿转让欠缺必要性,违背大陆法系立法惯例,造成了立法资源的浪费。应当将合理价格回归善意,但合理价格并非注意义务,在司法实践中重新定位合理价格。Bona fide acquisition system, especially The Bona Fide Acquisition of property ownership, as an important civil law for the protection of property of a third person in good faith to achieve the legitimate rights and interests, maintains dynamic security trading activities.It is inappropriate to set The transfer of property in accordance with the reasonable price as an independent Element of The Bona Fide Acquisition System.on the one hand,The transfer of property in accordance with the reasonable price is just a standard of good will in the theory of property law,on the other hand, a lot of problems in the administration of justice have been brought.it should be absorbed by other constituent elements and repositioned by Judicial activities.
