跨国并购的融资模式及财务分析——以三一重工并购德国普茨迈斯特为例

摘　　要：目前世界经济形势并不乐观,产能过剩,竞争不断激烈,国外需求趋于饱和,不少国外基础性企业被迫破产,这对中国无疑是一个机遇,中国企业可以借此收购国外著名企业以实现自身的发展。结合三一重工并购德国普茨迈斯特案例,基于跨国并购的影响因素,对其并购融资安排及其并购前后的财务指标进行分析,从而真正解读"成功并购"与"并购成功"。以期为提高中国企业跨国并购成功率提供一些借鉴。At present,the world economic situation is not optimistic,overcapacity,fierce competition,foreign demand tends to saturation,many foreign basic enterprises forced to go bankrupt,which is undoubtedly an opportunity for China,Chinese enterprises can take this well-known foreign enterprises to acquire To achieve their own development. Based on the case of M A in Putzmeister,this paper analyzes the financing arrangement of M A and the financial indicators before and after M A based on the influencing factors of M A in order to truly understand M A and M A success. In order to improving the success rate of cross-border mergers and acquisitions of Chinese enterprises to provide some reference.
