股权众筹平台法律地位界定及制度构建——基于对美国相关制度的考察

摘　　要：股权众筹融资作为一种新兴的互联网融资模式,在我国大力发展互联网金融的大环境下发展迅速。但是由于相关法律规范的缺位,股权众筹平台面临着主体法律定位不清、缺乏规范指引等问题。对股权众筹平台的法律定位进行了分析,并借鉴美国JOBS法案和股权众筹规则的相关经验,为我国股权众筹平台的法律制度构建提出建议。Equity crowd-funding is an emerging internet financial pattern, which plays an important role in promoting the construction of the multi-layer capital market system in China. However, because of the absence of relevant laws and regulations, the equity crowd-funding platform is facing many problems, such as unclear legal position and lack of legal guidelines, which has seriously hindered the development of the Chinese equity crowd-funding industry. This article will analyze the legal status of equity crowd-funding platform and give some advices on the construction of legal system of equity crowd-funding based on the relevant experiences of the United States.
