利用公司章程保护中小股东权利的策略

摘　　要：保护中小股东权利是公司发展中的重要课题,相比公司法,公司章程在保护中小股东权利上起着更为直接、有效的作用。中小股东在表决权、分红权、累积投票制度和公司章程修改中处于不利地位,在公司章程中,限制控股股东的权力,以分红协商、优化累积投票机制等维护中小股东的利益。How to protect the rights of minority shareholders has always been an important issue in the development of the company.Compared with the company laws,the articles of association play a more direct and effective role in protecting the rights of minority shareholders.Small and medium shareholders are often at a disadvantage in such aspects like the right to vote,the right to dividends,cumulative voting system and the amendment of association articles of the company.In the articles of association,the protection of minority shareholders＇ rights can be done by limiting the power of the controlling shareholders,negotiating bonus sharing and optimizing the cumulative voting mechanism.
