摘 要:美国非营利性私立大学董事会是以外行治理为主的自我延续组织,在大学领导中处于核心决策地位。作为一种组织系统的私立院校董事会,主要由目标、制度和人员三个要素构成,以一院制为基本结构依托于委员会进行运作,发挥着定位规划、沟通协调以及监督评估等重要功能。就整体而言,美国非营利性私立大学董事会具有信息透明化、运行规范化以及职责明确化等特征,但面对高等教育变革的新形势,其在专业性、参与性以及应对性等方面仍有待加强。The governing boards of non-profit private universities in the U. S, is an self-perpetuating organization which is mainly composed of lay citizens, standing the core position of decision making in university governance. As an organization system, the governing board mainly consists of goal, institution and personnel elements, basically adopts single-board model depending on committees to operate, and primarily plays planning, communication and supervision functions. On the whole, the goverhing boards of non-profit private universities is characterized by information transparency, operation standardization and responsibility explicitation. Facing with the new situation in higher education, however, the governing board still needs to strengthen the specialization, participation and adaptation.
