论中国台湾地区专利授权合同及其瑕疵担保责任  

A Study on Patent Licensing and Its Warranty Liability in Taiwan

摘　　要：中国台湾地区在与产业技术发展密切相关的专利权实施方面,授权许可仍属常态。因而,有必要详细了解专利授权合同,包括:授权合同的法律性质、授权合同内容、授权类型。此外,专利授权合同的物之瑕疵担保与权利瑕疵担保,《专利法》有不同于《民法》的考虑,应进一步讨论。当事人选择何种合同,应考虑专利权范围、专利权效力范围及专利计数之实施价值及资本、获利等;俾能准确客观评估该专利技术的市场竞争力,当事人双方缔结专利授权合同的意愿,并对于风险事前评估,以利在合同条文中尽可能厘清双方的权利义务关系及未来发生争议的解决途径。基此,有必要探讨专利授权类型及法律性质,研析专利授权合同之瑕疵担保责任,评论现行专利授权合同瑕疵担保责任之规定。Patent right implementation through patent licensing agreements is common to take advantage of innovative technolo- gies in Taiwan, China. Therefore, it is critical to learn about patent details in patent licensing agreements, including their legal characteristics, contents, and categories. Besides, due to different concerns, warranty liabilities against property and right de- fects in patent licensing agreements are different from that in civil laws, which calls for further discussion. Both parties should consider patent right scope, its value validity, capital and profit in a patent licensing agreements before they decide on the con- tract type. They also need to evaluate market competitiveness, their intent to make this contract, and potential risks in the con- tract beforehand in order to clarify each party＇ s rights and duties in case of possible disputes in the future. To achieve this goal, this article compares the differences of patent legal system cross - strait and investigates the legal nature of patent licensing agree- ments, their contents and categories, and discusses warranty liabilities against property and right defects in patent licensing agree- ments.
