摘　　要：阐述了我国实施市场化债转股的意义,分析当前煤炭企业实施债转股的成功案例,并以淮北矿业集团市场化债转股模式以及在操作实践中遇到的问题和经验做法为例,探索国有煤炭企业开展市场化债转股的有效路径和主流模式,提出市场化债转股的意义及相关建议。The paper stated the significances of the marketized debt-to-equity swap implemented in China and analyzed the successful cases of the debt-to-equity swap implemented by the present coal enterprises. With the marketized debt-to-equity swap mode implemented by Huaibei Mining Group and the problems and experienced method occurred in the operation and practices as the cases, the paper discovered the effective path and major mode of the marketized debt-to-equity swap conduct- ed by the state owned coal enterprises and provided the significances and related proposals on the marketized debt-to-equity swap.
