论民事行为中交易安全与利益维护——以效力待定合同研究为切入

摘　　要：效力待定合同对于保障交易安全、鼓励交易具有重要意义。基于对未成年人、本人、权利人利益保护将限制民事行为能力人订立的合同、无权代理人以被代理人名义订立的合同、无权处分人以本人名义订立的处分他人财产合同规定为效力待定合同。效力待定合同在成立之后处于悬而未决的状态,经享有追认权的权利人追认之后合同自始有效;拒绝追认合同自始无效。文章通过介绍效力待定合同与其他合同类型的区别,通过对三种效力待定合同类型的概述介绍,凸显其对于民事行为中交易安全与利益维护的独立意义。The unconfirmed contract is a type of contract in our country, which is of great significance to guarantee trading safety and encourage trade. Based on the protection of profit to minors, principal, the holder of r ights,itvs essential to make the validity of these contracts unconfirmed,which are made by people in limited capacity, unauthorized agency and no rights to dispose in the name of others.The unconfirmed contract is in an uncertainty state after the establishment of the contract. But it begins to take effect when people exercise the right to ratify the contract or it will be invalid. This article introduces the diffrence between the unconfirmed contracts and other types of contracts,and specificly introduce three types of unconfimed contracts to highlight its independent significance.
