摘　　要：合理的风险分担对水利PPP项目的成功实施起着关键作用。文章基于利益相关者理论,界定了水利PPP项目的关键利益相关者、主要利益相关者、次要利益相关者和一般利益相关者;采用案例调研和文献调研的方法,初步识别出水利PPP项目的 30项风险;以初步识别的风险作为研究对象,采用专家咨询法确定对水利PPP项目实施起决定作用的外部关键风险和内部关键风险;基于国内外已有的研究成果,结合水利PPP项目的特点,提出了水利PPP项目风险分担的六项原则;从政府、社会资本方和金融机构这三方关键利益相关者角度出发,设计了水利PPP项目的外部关键风险分担方案和内部关键风险分担方案,构建了水利PPP项目风险分担框架,提出了水利PPP项目风险分担的针对性建议。The reasonable risk allocation plays a key role in the successful implementation of water conservancy PPP project. Basedon the stakeholder theory,the paper defines the key stakeholders,the main stakeholders,the secondary stakeholders and the generalstakeholders of water conservancy PPP project. By means of the case study and the literature investigation,30 risks of water conservancyPPP project are identified preliminarily. Taking the risk of preliminary identification as the study object,the expert consultation methodis adopted to determine the external key risks and the internal key risks that determine the implementation of water conservancy PPPproject. Based on the existing research results at home and abroad,and combined with the characteristics of water conservancy PPPproject,six principles of risk allocation of water conservancy PPP project are put forward. From the view of the government,the socialcapital and the financial institutions of the three key stakeholder perspective,the external key risk allocation sceheme and the internalkey risk allocation sceheme of water conservancy PPP project are designed. The risk allocation framework of water conservancy PPP projectis constructed,and some suggestions for risk allocation of water conservancy PPP project are put forward.
