摘　　要：商业判断为董事和高管可能未尽忠实和勤勉义务的行为提供了适当的责任豁免的依据,而这也被视为公司治理立法对外部投资者尤其是个人投资者干预的过滤,即把董事、高管、控制股东和实际控制人是否违法、是否需要对股东和公司承担责任的解释权交给司法机关进行判断。在我国分红诉讼中引入商业判断规则,在遵循我国司法谦抑性的前提之下,可以针对公司管理层作出不分红决策这一行为进行合法性判断,在一定程度上保障中小股东等投资者的正当分红权益。Business judgment provide the liability exemption basis for directors and executives who may be entirely faithful and diligent obligation behavior appropriate, which is also regarded as corporate governance legislation for outside investors, especially for individual investors intervention filtering, namely directors, executives, control shareholders and actual controllers is illegal, whether to shareholders and the company bear the interpretation of responsibility handed over to the judicial organs to judge. In the litigation of our country dividend introducing business judgment rule, under the premise of our country judicial deference and restraint, for the management of the company to make dividend decision behavior, to protect minority shareholders and other investors legitimate rights and interests of the dividends in a certain extent.
