摘　　要：作为2016年证券市场的重大事件,"AB公司之争"的影响广泛而深远。"AB公司之争"虽然落幕,但在此过程中暴露出的一些问题值得思考。以A公司的一次董事会决议为切入点,利用逻辑分析和语义分析方法,对A公司此次董事会决议的效力进行分析,得出与公司治理相关的法律制度需要完善的结论。As a major event in the 2016 stock market,the "AB company's controversy"has a wide and far-reaching impact. Although the"AB company dispute"has ended,but some problems exposed in the process,which is worth for us to think about taking a resolution of a board of directors of a company as the breakthrough point,by using logical analysis and semantic analysis method,we analyze the effectiveness of the resolution of As board of directors,and draw a conclusion that the relevant legal system related to corporate governance needs to be improved. A short step,a thousand miles,I hope this article can make some improvement to the legal system of company and company governance.
