摘　　要：大学章程是高等教育最杰出的载体、积淀着大学的历史印记、构筑着大学的未来轨迹,是高等学校治理的根本依据,是协调高等学校内部和外部关系应基本遵循的合法性依据。美国大学章程体现出大学章程文本内涵的完整性、治理途径的合法性、权力规制的有效性、外部治理的回应性以及学术治理的参与性。通过利益相关者共同治理的有效路径,导引着通过章程的大学治理实现善治的最终目的。大学之善治即实现教育领域公共利益最大化,达成国家政府与学校法人、学校内部治理与学校外部关系、行政权力与学术权力的最佳合作状态,通过大学章程的大学善治呈现出国家权力向社会的回归、学校内外部关系和谐发展、行政权力与学术权力相辅相成的样态。University charter is the most outstanding carrier of higher education,the accumulation of the historical mark of the university,and constructs the future track of the university.The American university charter embodies the integrity of the university charter text,the legitimacy of the governance approach,the effectiveness of power regulation,the responsiveness of external governance and the democratic nature of the academic governance.The effective path of stakeholders＇ co-governance guides the ultimate goal of good governance through university charters.The good governance of university is to realize the maximization of public interest in the field of education and reach the best cooperation between government and the school legal person,between the school internal governance and external relations,and between administrative and academic power.University governance via its charter shows the return of state power to the society,shows the harmonious development of the relations in and outside schools,and the supplementation between administrative and academic power.
