“一带一路”项目国际信贷合同的法律适用——以中资银行为视角

摘　　要：中资银行与"一带一路"沿线国借款人订立国际信贷合同的过程中会产生法律冲突。冲突的解决,有赖于正确选择合同准据法。"一带一路"沿线国家整体法律环境落后,当地法律会对准据法的适用产生影响,因此选择准据法时应秉持如下原则:第一,准据法应能维持当事人合意。在当地法律限制的范围内选择,并尊重当地的强制性法律规范。第二,准据法应有利于融资活动进行。选择稳定且对国际融资活动有较完备规定的法律。第三,准据法应有利于争议解决。注意与争议解决方式协调,因为部分"一带一路"沿线国的法官不接受外国法为准据法;关注准据法对豁免的态度,许多"一带一路"项目的借款人可能拥有豁免权,准据法应允许放弃或限制豁免。Legal conflicts will arise in the process of Chinese-fund banks making international credit contracts with borrowers in the countries along the ＂the Belt and Road＂. Settlement of the conflicts effectively depends on the correct choice of the applicable law of contracts. The whole legal environment of the countries along ＂the Belt and Road＂is not advanced and the local laws will affect the application of the applicable law. So,we should obey the following principles when we choose the applicable law： First,the applicable law should maintain the parties＇ agreement. Choose the applicable law within the scope permitted by local laws and respect local legal compulsory regulations. Second,the applicable law should guarantee financing activities. Choose the law that is stable and has complete rules for the international financing activities. Third,the applicable law should be conductive to the solution of the disputes between the parties. The applicable law should be coordinated with the way to solve disputes because judges in some countries along the＂Belt and Road＂do not accept foreign laws as the applicable law. Meanwhile,pay attention to the attitude of the applicable law to the immunity. Many borrowers in the countries along the ＂the Belt and Road＂may have immunity which the applicable law should allow them to give up or to restrict.
