摘　　要：我对城市商业银行的情况不是很熟悉。这里就谈谈关于银行公司治理中一些具有共性的问题，供大家参考。关于公司的定义，虽然说法很多，但是大同小异。公司这个概念由来已久，如果往前追溯，有人说公司从古罗马时代就有了（当然也有人不赞同这种说法）。There does not exist a universally applicable ‘best corporate governance' in the world, corporate governance has to be suited to individual conditions, be made useful and effective. Corporate governance structure and decision-making mechanism should be aligned with reform targets. For city commercial banks to establish a sound corporate governance mechanism, they have to manage well the relationship between party committee and shareholders' meeting, board of directors, board of supervisors and senior management, establish a stable and sound equity structure, ensure the highlyefficient running of board of directors, give full play to the supervisory role of board of supervisors, strengthen the power of execution of senior management, standardize authorized management, pay attention to information disclosure, relationship of investors and market value management.
