学会内部治理结构探究

摘　　要：由于缺乏完善的外部市场竞争机制,学会需要依赖于建立完善的内部治理结构来保障其良性、可持续运营。完善的内部治理结构包括框架搭建、制度设计和人才建设三方面,本文首先基于公司治理结构理论,提出三权分离型内部治理结构基础框架,之后从学会自身特点出发,分别对理事会、秘书处和监事会制度进行设计,最后探讨理事长和秘书长应当具备的素质和特点,并针对秘书长职业化进程中的障碍提出应对之策,以期帮助学会构建科学合理、运行高效的内部治理结构,为国内学会自身建设提供新思路。Due to the lack of a perfect external mechanism of market competition, the sci-tech associations need to rely on the establishment of a sound internal governance structure to ensure their benign and sustainable operation. A sound internal governance structure includes three aspects including framework construction, system design and personnel development. Based on the theory of corporate governance structure, this paper firstly puts forward the basic framework of internal governance structure which separates the three powers. Secondly this paper explores the system design of the council, the secretariat and the supervisory board respectively starting from the characteristics of the sci-tech associations. Finally, this paper discusses about the quality and characteristics that the director-general and the secretary-general should have, and puts forward countermeasures to overcome the obstacles during the professionalism of the secretary-general, expecting to help sci-tech associations construct a scientific, rational and efficient internal governance structure and provide new ideas for the self-improvement of domestic associations.
