关于物流服务合同法律关系的再思考

摘　　要：为明确物流服务合同法律关系的客体、主体和内容,通过实证分析和历史分析方法,对示范合同、国家标准和相关法律规定进行研究。结论为:平等的民事主体之间针对物流服务设立、变更、终止民事权利义务关系的协议的恰当的名称应为物流服务合同;物流服务合同法律关系的客体应是一体化物流服务,主体应为物流经营人和物流委托人;物流经营人的主要义务应是提供约定的一体化物流服务,物流委托人的主要义务应是支付物流服务费用和给出合法指示。To clarify the object, subject and content of logistics service contracts, the model contracts, national standards and relevant legal provisions are studied through empirical analysis and historical analysis. The conclusions are as follows： the proper name of the agreements between equal civil subjects on the establishment, variation or termination of the relationship between rights and obligations about logistics service should be logistics service contracts; the object of the legal relationship of logistics service contracts should be integrated logistics service and the subject should be logistics operators and logistics entrustors; logistics operators are obliged to provide agreed integrated logistics service, and the logistics entrustors are obliged to make payment for logistics service and give legitimate instructions.
