摘 要:在商业发展过程中,信息不完全和不对称始终困扰着商事主体,而商业登记制度的应运而生恰恰是为了给观察者提供有效的信息,便于其以低成本区分低贴现率的"好人"与高贴现率的"坏人",促进商业合作,实现合作者预期的最大化收益。对于商业登记的事项,不仅仅体现在国家制定法中,而且在习惯法中也大量存在,这些规范的存在共同促进了秩序的稳定,在稳定中实现效率。商业登记制度只是万千法条和法律习惯中的一个缩影,运用信息经济学的信号传递理论来探讨商业登记,没有掺杂道德因素和文化因素,只是客观地去分析各个参与者的行为模式,进而分析商业登记制度的发展方向。In the course of commercial development,incomplete and asymmetric information always poses a problem for commercial subjects.The emergence of commercial registration system provides the observers with effective information,which helps them distinguish at a low cost between a"good man"with a low discount rate and a"bad man"with a high discount rate.Therefore,commercial registration system promotes business cooperation and maximizes the expected benefits of the collaborators.The widespread commercial registration not only in national statutory laws but also in customary laws collaboratively promotes stable commercial order and guarantees commercial efficiency.The paper,by means of signal transmission theory in economics of information and regardless of moral factors and cultural factors,discusses commercial registration,an epitome of thousands of laws and practices,objectively analyzes the behavior pattern of each participant,and predicts its future development.
