摘　　要：《株洲市工业遗产保护条例(草案)》的起草面临如何确定公权力干预与民事权利保护边界的法理问题。《株洲市工业遗产保护条例(草案)》的条文设计对于民事权利的保护关注不够,有悖于"保护"法的立法初衷,从立法结构到具体条文,都有进一步修改完善的必要。The making up of the Protection Regulations for Zhuzhou’s Industrial Heritage（ Draft） will face the problem of how to determine the legal principle of the boundary between public power intervention and civil rights protection. The provision design of this draft pays insufficient attention to the protection of civil rights and goes against the legislative intention of the law of ＂protection ＂,it is necessary to modify and improve it from the legislative structure to the specific provisions.
