摘 要:"福公司路案"源于英国对中国长江流域铁路特许权的获取和矿务合同条款的规定。清末铁路总公司是清政府设立的官督商办企业,是筹集路款和对外办理铁路借款交涉的商务机构。在处理"福公司路案"过程中,清末铁路总公司与总理衙门(清外务部)涉外交涉的权限并不清晰。以盛宣怀为督办的中国铁路总公司在"福公司路案"中难以顶住外务部和福公司的压力,导致"路案"交涉始终充满曲折而陷入困境,最终被迫背负沉重的路款债务。" The railway case of Pekin Syndicate" stems from the British regulations on the acquisition of railway concessions and the terms of mining contracts in the Yangtze River Basin of China. In the late Qing dynasty, China Railway General Corporation was established by the Qing government as a commercial organization to raise funds and deal with railway loans. In the process of dealing with the railway case of Pekin Syndicate case, the jurisdiction of the Railway Corporation and the Tsungli yamen ( Ministry of Foreign Affairs) was not clearly known. The China Railway General Company, which was supervised by Sheng Hsuan-huai, was not able to withstand the pressure of the foreign affairs department and the Pekin Syndicat in the "the railway case of Pekin Syndicate". As a result, the negotiations in the Railway case was always full of twists and turns, and eventually forced the company to bear heavy road debts.
