海南自贸试验区国际商事调解机制:理论分析与制度建构

摘　　要：《中共中央国务院关于支持海南全面深化改革开放的指导意见》对于在海南自贸试验区设立国际争端调解机制具有重大启蒙之效。细予考察这一指导意见的潜蕴深藏,可知,国际商事调解机制于海南自贸试验区之裨益,在于契应海南自贸试验区境内关外的法律地位,善于维系当事人未来商业关系的持久,利于区内高效便捷、成本低廉地解决商事争议,最大程度实现当事人的意思自治。这一机制表现为调解机构的建立、完善调解立法、制定调解规则及将调解协议付诸实施等方面,可溯源至国际商业惯例,并在中国已有自贸试验区实践中得以佐证。归咎于海南全省缺乏独立的国际商事调解中心,服务贸易纠纷的比例居多,加之调解协议的法律效力饱受质疑,为此建议尽快在区内设立独立的国际商事调解中心,制定地方立法及彰显服务贸易为特色的区内国际商事调解规则,增强国际商事合同中的调解条款及其调解协议的强制力。Guiding Opinions of the CPC Central Committee and the State Council on Supporting Hainan in Comprehensively Deepening Reform and Opening Up is of significant enlightenment for the construction of international commercial mediation mechanism in Hainan Pilot Free Trade Zone. A thorough investigation into the profound implications of guiding opinions reveals the benefits of this international mechanism for Hainan Pilot Free Trade Zone such as its conformity with the legal status outside the customs within Hainan Pilot Free Trade Zone,its better maintenance of future business relationships among the parties involved,its facilitation for the convenient and low-cost resolution of trade disputes within the zone,maximally realizing the autonomy in accordance with the will of the parties. The mechanism is embodied in the establishment of mediation institution,the perfection of mediation legislation,the making of mediation rules,and the enforcement of mediation agreements and so on,which can be traced back to the international business practice and have been verified in the practice of established free trade zones in China. Due to the lack of the independent international commercial mediation center in Hainan Province,there are a large proportion of disputes on service trade,along with various queries of legal validity of mediation agreements. Therefore,it is suggested to establish an independent international commercial mediation center as early as possible in this trade zone,enacting the local law and highlighting the international commercial mediation regulations with the characteristics of service trade while enhancing the mandatory force of mediation clauses and agreements in the international commercial contracts.
