摘  要:我国石油企业实施跨国经营25年以来,在中国资本、技术、队伍实现"走出去"的同时,通过中外项目合资、人才交流、经验学习,也在"引进来"国外先进管理、前沿技术和成功经验。以项目B为例,分析大型国际合资油气项目管理运营实践中的成功做法,包括设置清晰的产权架构与搭建有效的股东管理架构、实施程序化的决策流程、采用精细化制度化的高效管控、开展严密的伙伴监管和审计、重视与利益相关方的交流沟通,并从中得出落实股东对项目管理的知情权、参与权、话语权、决策权和监督权五个方面的启示,以期为推动国有企业改革提供他山之石。Over the past 25 years, China's oil enterprises have realized "Going Out" in terms of Chinese capital, technology and teams and also got "Bringing In" from advanced foreign management, cutting-edge technology and successful experiences. The paper takes project B as an example to analyze the successful practice in the management and operation of large-scale international oil and gas joint venture, focusing on analysis of setting clear shareholders structure and building effective committee framework, implementing procedural decision-making process, adopting well-defined operating agreement, carrying out strict JV supervising and auditing, and developing value communication with stakeholders. It concludes the enlightenment from the implementation of the five aspects of the shareholders' right to know, participation right, speech right, decision-making right and right of supervision of the project management in order to provide "a guide to success" for promoting the reform of state-owned enterprises.
