摘　　要：东道国政府审查目前已经成为"中国企业走出去"进程中日益凸显的投资风险,中兴事件就是典型事例。目前,东道国政府审查具有"国家安全审查"不断扩张,对具有外国政府背景的投资审查愈加严格,对关键技术和设备、敏感行业审查更加严苛的趋势。为应对和防控审查风险,中国海外企业应提高自身的法治意识,建立合规经营管理体制,按照东道国法律法规合规经营;计划投资企业应制定投资风险防控预案,了解东道国投资法律法规;政府部门要加强境外投资的指导和服务,包括参与制定国际投资规则,与东道国进行个案交涉,搭建信息服务平台,建立企业信息报告制度,制定"境外投资指引",建立境外投资企业违规惩罚机制。The review of the host country Is government has become an increasingly prominent investment risk in the process of ＂going out＂ of Chinese enterprises. The ZTE event is a typical example. At present, the review of the host country~ government has a continuous expansion of ＂ National Security Review＂, more stringent investment reviews with a foreign government background, and a more stringent review of key technologies and equipment and sensitive industries. In order to cope with and prevent and control the risk of review, Chinese overseas enterprises should raise their own consciousness of law, establish a compliance management system, and operate in accordance with the laws and regulations of the host country. Planned investment enterprises should formulate plans for investment risk prevention and control so as to understand host country investment laws and regulations. The government departments should strengthen the guidance and service of, foreign investment, including pa^icipating in the formulation of international investment rules, dealing with the host country, building information service platform, establishing the information reporting system of the enterprise, formulating the ＂guidance for foreign investment＂, and establishing the mechanism of punishing the violation ~f the foreign investment enterprises.
