陆商入台的投资准入法制制约因素管窥——以《海峡两岸投资保护和促进协议》中的投资准入条款为分析视阈

摘　　要：《海峡两岸投资保护和促进协议》实施后,陆商入台投资并未出现预期的增长,反而呈现出萧条下滑景象,凸显该协议在投资准入待遇条款与减少投资准入限制的例外条款设置上的缺陷。故必须优化该协议的制度设计,在投资准入方面实行"准入前居民待遇+负面清单"模式;明晰"负面不符措施清单"条款的内容;界定"重大安全利益"条款的适用边界;限定投资准入重大安全例外条款的适用条件,实现有效促进两岸投资自由化的效用。After the implementation of The Cross-strait Investment Protection and Promotion Agreement, investment from mainland in Taiwan did not increase as expected but showed a tendency of depression, which betrayed the Agreement's defective exception clauses in terms of investment treatment privileges and reduction of limitations. Therefore we should optimize the design of the Agreement, adopting the model of pre-establishment national treatment and negative list for investment, clarifying the content of the negative list, defining the scope of major security interests, determining the application condition of the exception clause for major security interests, so as to promote the liberalization of investment between China's Mainland and Taiwan.
