电子商务平台内经营者商事登记模式研究

摘　　要：电子商务平台内经营者为新型的商主体,在实践中关于其商事登记的规定与模式多存在混乱之处。在现行法语境下,若要求其适用强制性商事登记模式,则理论上将陷入商主体与商事登记关系的逻辑矛盾,无法明确商主体身份是由商事登记赋予抑或是确认。实质上,平台内经营者具有特殊之处,不宜将其与传统商事主体等同,对其应该采取市场化管理模式：即采进行自愿、分类以及网络化登记的规定,一方面在于实践中其有多种类型,且其要求便捷迅速交易的电子商务特性与传统工商登记程序繁杂耗时特性不相适应;另一方面,商事登记具有一种天然的维护市场安全交易的优势,则随着经营者交易额增大的市场条件下,具有趋利本质的商主体自然会倾向于选择进行商事登记以保护其商誉和维护其经营活动的有序开展。In the e-commerce platform,the operators are the new business entities. There are many confusion about the regulations and modes of commercial registration in practice. In the current context,if it is required to apply the mandatory business registration model,the logical contradiction between the business subject and the business registration is theoretically incompatible,and the identity of the business subject is not clearly defined by the commercial registration or the confirmation. In essence,the operators in the platform have special features. They should not be equated with the traditional commercial subject,and are fully applicable to the compulsory traditional business registration. The market management mode should be adopted： the provisions of voluntary,classified and networked registration are to be carried out on the one hand,on the one hand,there are many types in practice,and their requirements are The characteristics of the fast trading of the electronic commerce are incompatible with the complex and time-consuming characteristics of the traditional business registration procedure; on the other hand,the commercial registration has a natural advantage to maintain the market security. With the increase in the market conditions of the business operator,the merchant with the essence of profit will naturally tend to choose business. Registration protects its goodwill and maintains its business activities in an orderly manner.
