我国外商投资准入规则的重构

摘　　要：自贸区建设的核心内容是制度创新,外商投资法律体系改革是制度创新中的重要内容。我国现行以"三资企业法"为基础架构的外商投资法律体系重构是全面深化改革的重点任务之一。"三资企业法"的历史使命已经完成。中央决定在自贸区试点外商投资"准入前国民待遇加负面清单"的管理模式应当与推进政府职能转变的改革协同进行。"三资企业法"废除和统一《外国投资法》的出台已经提上立法日程。在开放型经济理念指导下,目前《外国投资法(草案征求意见稿)》中的许多重大问题还有待解决。The core content of free trade zones construction is to carry out system innovation,and the reform of foreign investment legal system is an important part of system innovation. The re-construction of the legal system of foreign investment based on the “Three Laws of Foreign Invest-ment” is the key point of comprehensively deepening reform. The historical mission of the “ThreeLaws of Foreign Investment” has been completed. The central government decided that the manage-ment mode of “pre-establishment national treatment（PENT） with a negative list” of foreign invest-ment in the free trade areas should be carried out in collaboration with the reform of promoting thegovernment duty transformation. The abolition of the “Three Laws of Foreign Investment” and the u-nification of the Foreign Investment Law have been put on the legislative schedule. Under the guid-ance of the open economy, many important issues in the Foreign Investment Law（ exposure draft）need to be improved.
