摘　　要：“债转股”是我国政府为化解金融风险，使国企解困而推出的一项战略决策。为使债转股预期的目的能充分实现。必须在法律上明确金融资产管理公司的法律地位，对债转股予以全面的法律规范，并把债转股同国企的深化改革、转换经营机制结合起来。Our government has made a strategic policy of 'transforming creditor's right into share ownership' for the sake of lessening the financial risks and extricating the state-owned industries from difficulties. In order to achieve the expected aim, the legal status of financial asset management companies should be established in law, the enforcement of this policy should be legally standardized and this policy should be combined with the reform and change of management style of state-owned industries.
