摘　　要：分析了契约型投资基金和公司型投资基金的基础法律关系 ,比较了二者之间的不同特征和构造关系 ,并对我国投资基金组织形式的选择和投资基金立法应贯彻的原则进行了充分论述。This passage analyzed the basic legal relation of contractual fund and corporation fund,and the differences of traits and constituency between them also have been compared.Argumentaion on which form to choose and the principle should be implemented in legislation are sufficient.
