论党组织参与国有公司治理的法律原则

摘　　要：党组织参与国有公司治理的法律原则是制定党组织参与国有公司治理的法律规则的基础,是党组织参与国有公司治理实践的指引。党组织参与国有公司治理应遵循合法性原则、科学性原则、民主性原则、安全性原则、效率性原则和有限参与原则。合法性原则是首要原则,也是总的原则,包括形式意义上的合法性原则和实质意义上的合法性原则。科学性原则要求党组织参与国有公司治理应当符合公司治理的客观规律。遵循民主性原则,应认识到参与国有公司治理的主体是党组织,党组织民主决策不能代替国有公司的民主决策。安全性原则要求党组织在确保国有资产安全、防止国有资产流失上发挥作用。效率性原则强调党组织参与国有公司的治理应当有利于国有公司效率的提高。有限参与原则强调党组织参与国有公司的治理应做到不越位、不缺位。The legal principle for the communist organizations to participate in the governance of state-ownedcompanies is the basis of formulating the legal rules for the communist organizations to participate in the corporategovernance,and is the guideline for the communist organizations to participate in the practice of state-owned corporategovernance.Communist organizations should abide by the principle of legality,scientific principle,democraticprinciple,security principle,efficiency principle and limited participation principle.The principle of legality is the firstand the general principle,including the principle of legality in both the form and essence.The scientific principlerequires that the communist organizations should conform to the objective law of corporate governance whenparticipating in the state-owned company governance.According to the principle of democracy,it should be realizedthat the main body of participating in the governance of state-owned enterprises is the Communist organization,andthat the democratic decision-making of communist organizations cannot replace that of the state-owned enterprises.Theprinciple of security requires that the Communist organizations should play a role in ensuring the safety of state-ownedassets and preventing the loss of state assets.The efficiency principle emphasizes that the participation of the Partyorganization in the management of the state-owned company should be beneficial to improving the efficiency of thestate-owned company.The limited participation principle emphasizes that the Communist organizations should neitheroffside nor omit in participating in state-owned companies.
