摘 要:企业"黑名单"制度是我国企业信用及商事信用制度的重要内容之一。作为失信惩戒机制的重要手段,其应有商事功能包括激活现行立法中的"僵尸条款"、增加违法失信企业的交易成本并为商事信用制度的构建进行先行探索。当前,企业"黑名单"制度已在各地区、各行业制定并实施。然而,实践中该制度的运行却面临着制定和实施主体不明确、列入和实施标准不统一的问题。由此,应从实践需求角度出发,完善我国企业"黑名单"制度,明确"黑名单"制度和实施主体,统一列入条件、完善信息共享和评价互认机制并实施联动惩戒机制,使违法失信企业"一处失信,处处难行"。Commercial credit is the core of the credit problem in China now.The enterprise blacklist system is the important component of the commercial credit system.The enterprise blacklist system has been constructed in various districts and fields at present.However,the system is faced with the dilemma of the ambiguity of the subject and the disunity of the standard.The commercial functions of the enterprise blacklist system should include activating the zombie clause in the current law,increasing the transaction cost of the illegal and dishonest enterprise and exploring a reasonable way for the construction of the commercial credit system.Therefore,we should focus on the practice,specify the subject of the formulation and implementation,unify the standard of listing in the blacklist,improve the information sharing platform and mutual recognition systems,and carry out the linked penalty system.The system would keep the illegal and dishonest enterprise out of the market.
