摘　　要：深化国有企业改革,推动国有资本做强做优做大,健全完善法人治理结构是国有企业深化改革的重要内容,但从实践情况看,国有企业现代企业制度仍不完善,尤其是对集团管控下的子公司企业治理问题,存在诸多问题。中国葛洲坝集团股份有限公司始终站在国企改革前沿,积极探索国企改革的焦点问题和难点问题,大胆进行改革创新,以"权力制衡、责权清晰、决策科学、程序严谨、运行高效、监督独立"为治理原则,创建独具葛洲坝特色的子公司企业治理体系,为我国国有企业完善法人治理结构和优化集团管控模式提供了有益思路。Deepening reform of state-owned enterprise(SOE),promoting the state-owned capital to be stronger,better and bigger,consummating corporate governance structure are the critical contents of deepening reform of SOE.However,in practice,modern SOE system is imperfect,especially in respect of governance of subsidiaries under the holding groups.China Gezhouba Group Corporation(CGGC)always stands firmly on the frontline of SOE reform;positively explores focal and thorny issues of SOE reform;boldly carries out reform and innovation with governance principal of“checks and balances,distinct accountability,scientific decision-making,rigorous procedure,efficient operation,independent supervision”.Unique enterprise governance system with CGGC characteristics has been created,and thus providing constructive thought for improving SOE corporate governance and optimizing group control mode in China.
