摘 要:公私合作项目合同是公私合作系列合同中的核心合同。竞争性磋商程序作为公私合作项目采购程序中最具代表性的一种,具有实现实体结果的工具价值,但仍预留了较大的裁量空间,需要以采购是否公正、是否存在倾向性或歧视行为,是否体现物有所值等为标准,判断项目实施机构程序行为的正当程度。公私合作合同缔约过程是受到高度监管的合意过程,条款拟定技术可以为公、私部门间合理配置风险、提高项目对外部环境和政策适应性发挥功用。公私合作项目合同缔结过程中的法律关系宜用行政私法理论解读,其争议解决应以质疑、投诉为前置程序,再提起行政复议或行政诉讼。A public-private partnerships(PPP)project contract is a core contract in PPP contract series.The competitive dialogue is the most typical PPP procurement procedure,with the instrumental value of achieving substantial outcome,but still set aside a large discretion space,thus the fairness of purchase,whether there is discrimination or preference toward some supplier,whether it reflects value for money and so on,shall be taken as the standards to determine the legitimacy of the implementation agency’s procedural behavior.The process of concluding a PPP contract is a highly regulated process with limited negotiation.The terms and conditions can be used to properly allocate risks between the public and private sectors,and to enhance the project’s adaptability to external environment and policy.The legal relationship between the public and private party during the PPP contract formation process could be interpreted by the administrative private law theory.Question and complaint procedure shall be the prerequisite for resolving the dispute during PPP contract formation and then administrative reconsideration or administrative litigation could be followed.
