摘　　要：自中国政府1997年对香港恢复行使主权以来,内地与香港之间的经贸往来日益密切。作为全球最自由的经济体之一,香港多年来一直是内地企业走向国际市场的良好跳板和依托。然而,由于全球金融危机等不稳定因素对企业的持续影响,涉及内地与香港的破产案件越来越多,如何实现破产案件的合作成为内地与香港共同关注的重要议题。长期以来,不同的法律体系使内地与香港间的破产合作存在较多困难,而近年来出现的离岸因素又为内地与香港跨界破产合作增添了更多的不确定性。内地与香港宜就跨界破产合作事项协商制订专门安排,以缓和内地与香港跨界破产案件处理中的冲突及困境。China's Mainland and Hong Kong have been maintaining a very close relationship in trade and investment areas ever since the Chinese government resumed exercise of sovereignty over Hong Kong in 1997.As one of the most robust economies in the world,Hong Kong serves as an ideal springboard for mainland enterprises looking into the international market.With the continued effect of financial crisis on companies from both regions,however,how to achieve cross-border insolvency cooperation between China's Mainland and Hong Kong appears to be of particular significance.For a long time,different legal systems render it hard for the two jurisdictions to cooperate in insolvencies and such cooperation can be even more uncertain when offshore jurisdictions are involved.Based on the case study,this article tries to examine the limitations as well as the problems of the existing legislations and judicial practices between mainland and Hong Kong with respect to cross-border insolvency.It points out that reaching a special arrangement on insolvency cooperation is a feasible way to improve the present situation and some suggestions on the core issues of the arrangement are proposed in the article as well,including access to the court,recognition and relief,cooperation and coordination among different proceedings and so on.
