摘　　要：行业协会的法人治理机制和外部体制环境对行业协会的健康运行和发展具有同等重要的意义。当前行业协会的法人治理存在组织机构不健全、章程虚置、民主化运行程度不高、治理规则供给不足等诸多问题。法人治理机制的完善应当确立自治、法治、制衡、民主的基本原则;政府应当发挥指导作用;应当从行业协会治理结构、运行机制的微观制度建构入手完善行业协会的法人治理机制。The legal person governance structure and the external system-environment are of equal importance for the healthy operation and development of trade associations.Legal person governance,in its current state,causes trade associations numerous problems,including shortcomings in their organizational structures,weaknesses in their articles of incorporation,low degrees of operational democratization,and insufficient supply of governance regulations.The government should take leadership and,by intervening in minute aspects like governance structures and operating systems,perfect the legal person governance mechanism of trade associations.
